Terms & Conditions

Lecture B.V., operating under the trade name Leqture, with its registered office in Amsterdam (Chamber of Commerce number 72453575), hereinafter referred to as "Leqture".

 

Article 1: Definitions

 

In these General Terms & Conditions, unless explicitly stated otherwise:

 

  • **Agreement**: Any agreement between the Client and Leqture for the provision of Services.

  • **Client**: Any natural or legal entity that enters into an Agreement with Leqture for Services.

  • **Leqture**: Lecture B.V., operating under the trade name Leqture, with its registered office in Amsterdam (Chamber of Commerce number 72453575), including its legal successors and affiliated companies, hereinafter referred to as "Leqture".

  • **Services**: Services provided by Leqture, including but not limited to organizing and facilitating online or on-site inspiration sessions, live streaming events, or other educational activities.

  • **Speakers**: Academic or professional experts introduced by Leqture as part of the Services.

  • **Personal Data**: Any information relating to an identified or identifiable natural person.

  • **Parties**: Leqture and the Client collectively.

 

Article 2: Applicability

 

These Terms & Conditions apply to all Offers and Agreements between Leqture and the Client.  

Deviations are valid only if explicitly confirmed by Leqture in writing.  

Leqture is entitled to amend these Terms & Conditions. Amendments shall apply to existing Agreements 30 days after written notification, unless the Client objects in writing before this period expires.

 

Article 3: Offers and Agreements

 

Offers are valid for 14 days, unless stated otherwise.  

An Agreement is concluded upon written confirmation by the Client or when the Client requests a first booking or option for a speaker.  

Price quotations may be subject to adjustments in case of unforeseen changes.  

 

Article 4: Execution of Services

 

Leqture will provide Services with due care and to the best of its abilities.  

Speakers are engaged through Leqture only, and Client agrees not to contact or contract speakers directly within two years (for sessions) or one year (for events) after the Agreement.  

Leqture reserves the right to replace speakers if necessary due to unforeseen circumstances.  

Client shall provide all necessary facilities and support for the delivery of the Services.  

 

Article 5: Intellectual Property and Use Restrictions

 

All intellectual property rights, including recordings, presentations, and materials, remain the property of the speakers and Leqture.  

Content may only be used internally for Client’s employees and may not be shared or published externally without explicit written permission.  

Client is not permitted to record, reproduce, or distribute content beyond internal use.  

Use of Leqture’s or speakers’ names, images, or materials for external marketing or press purposes requires prior written approval.  

 

Article 6: Fees and Payment

 

Fees are exclusive of VAT and government levies.  

Payment must be made within 30 days of invoice date.  

Invoices are issued after signing of the Agreement or upon first booking or option, whichever occurs first.  

If payment is delayed, statutory interest and collection costs apply.  

 

Article 7: Cancellations and Changes

 

Confirmed speakers are invoiced in all cases.  

Options may be cancelled without charge unless otherwise agreed.  

Client may propose changes to scheduling, which will be accommodated where possible.

 

Article 8: Liability

 

Leqture’s liability is limited to direct damages and capped at the amount invoiced for the specific Services.  

Leqture is not liable for indirect, consequential, or incidental damages, including lost profits.  

Leqture is not responsible for unavailability or delays caused by force majeure, technical issues, or circumstances beyond its control.  

 

Article 9: Force Majeure

 

In cases of force majeure, including but not limited to speaker illness, technical failures, or legal restrictions, Leqture may suspend or adjust Services without liability.  

Leqture will, in case of speaker illness or technical issues, offer alternative dates or replacement speakers in consultation with the Client.

 

Article 10: Confidentiality

 

Parties agree to treat all information obtained during the Agreement as confidential, unless disclosure is required by law.

 

Article 11: Data Protection and Privacy

 

Leqture shall process any personal data in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR).

 

Leqture processes personal data only to the extent necessary to fulfill the Agreement and to provide and improve its Services. Personal data will be processed in a secure and confidential manner and will not be retained longer than necessary.

 

The Client remains responsible for ensuring that any personal data shared with Leqture has been lawfully collected and shared in compliance with applicable data protection laws.

 

Leqture has implemented appropriate technical and organizational measures to protect personal data against loss, misuse, or unauthorized access.

Upon termination of the Agreement, personal data will be returned or deleted in accordance with applicable laws and as set out in the Privacy Policy.

 

Article 12: Term and Termination

 

Agreements are for the term specified therein and may not be terminated prematurely unless otherwise agreed.  

Leqture may terminate the Agreement immediately in cases of non-payment, bankruptcy, or material breach.  

Upon termination, rights of use immediately lapse, and Client must cease use and return or destroy all materials.

 

Article 13: Governing Law and Dispute Resolution

 

These Terms & Conditions and all Agreements are governed exclusively by Dutch law.  

Disputes shall be submitted to the competent court in Amsterdam.
